Information about the Software's Licensor:
This license is granted by Inserm Transfert SA, a limited company (société anonyme à directoire et conseil de surveillance) organized under the laws
of France, with share capital of €9,573,470, whose registered headquarters are located at 7 rue Watt, 75013 Paris, France,
SIRET No. 434 033 619 00025 business (APE) code 7219Z, Paris Trade and Companies Registry No. B 434 033 619,
represented by its Chairman of the Executive Management Board (Présidente du Directoire), Mrs. Pascale Augé;
Inserm Transfert SA is acting in the names and on behalf of the French public entities that co-own the Software and the Patent:
Acting as delegatee of the French National Institute of Health and Medical Research (Institut National de la Santé et de la Recherche Médicale – hereinafter “Inserm”),
a public scientific and technological institute, having its registered headquarters at 101 rue de Tolbiac, 75013 Paris, France, and
Acting in the names and on behalf of the following public entities for the purposes of this agreement:
CNRS, and Université Paul Sabatier Toulouse III, as Mandataire Unique or “Single Representative” under French law, decree n° 2020-24 of 13 January 2020.
PREAMBLE
This license is binding between the Licensor and any user that downloads and exercises the Licensed IP Rights.
By exercising the Licensed IP Rights, You expressly accept and agree to be bound by the terms and conditions of this license agreement.
The Licensed IP Rights are only granted to You by the Licensor in consideration of Your acceptance of the terms and conditions hereinafter set out.
ARTICLE 1 - DEFINITIONS
In this license agreement, and unless the context clearly indicates otherwise, the terms starting with a capital letter are defined as follows,
it being understood that words in plural may be understood in singular and vice versa.
"Code": Source code and/or Object code.
"Co-owners": the following French public entities: Inserm, CNRS, and Université Paul Sabatier Toulouse III.
"Contribution(s)": any work made by a Licensee that includes or is based on the Licensed IP Rights in a manner that permission of the Licensor is needed
for use or disclosure of the such work.
"Contributors": any person that releases a Contribution.
"License": the terms and conditions for use, reproduction, and distribution of any Contribution using the Licensed IP Rights herein defined.
"Licensed IP Rights": the rights granted to any Licensee pursuant to this License.
"Licensee" or "You"/"Your": refers to any user of the Software.
"Licensor": Inserm Transfert in the names and on the behalf of the Co-owners and any Contributor disclosing their Contribution(s).
"Non-Commercial Research": use for research purposes only and not for the purpose of obtaining any commercial advantage or financial compensation.
The following acts are not considered Non-Commercial Research notably:
- use in clinical trials,
- use for diagnostic and therapeutic purposes,
- use for rendering a research service for a fee, even if the said fee is merely reimbursement of the costs of rendering the service,
- use in a product or as part of a product to be sell,
- use for developing, creating and marketing or improving a product or process for commercial and/or industrial purposes.
"Object code": or the “Binary code”, shall mean the binary files originating from the compilation of the Source Code.
"Patent": patent request EP23 305 172.1, of 09-02-2023, title : "Method for determining at least one physical value in data and associated products" and
any foreign patent application corresponding thereto, and any divisional, additions, continuations, continuations in part, or re-examination application,
and each patent that issues or reissues from any of these patent applications.
"Software": the Kartezio software, including the Object Code, the Source Code, any Code generated by deep-learning processing, the user interface,
the graphical interface, the libraries and the related documentation (“Documentation”).
"Source Code": all the Software's instructions and program lines to which access is required so as to modify the Software.
"Territory": worldwide.
ARTICLE 2 - PURPOSE
The purpose of this license is to set out the terms and conditions under which the Licensor grants any Licensee a worldwide, non-exclusive and royalty-free
license to reproduce, use, study the Software, and generate and disclose Contributions, for performing Non-Commercial Research only.
If You wish to be granted a license for other purposes than Non-Commercial Research, you may contact the Licensor.
ARTICLE 3 - SCOPE OF RIGHTS GRANTED
3.1. Software - Rights of use
The Licensor grants to the Licensee the rights to :
- use the Software, that comprises the rights to permanently or temporarily reproduce the Software in order to load, display, run, transmit or store
the Software on any media and by any means ;
- study the Software,
- modify, adapt and arrange the Software, generating Contributions,
- distribute copies of the Software and/or of Contributions, provided however that they are distributed under the same terms and conditions, as described
in article 4.
These rights are only granted to You in order to perform Non-Commercial Research.
For the avoidance of doubt, You are not entitled to exercise the aforementioned Licensed IP Rights for commercial purposes.
3.2 Patents
The method that is implemented by the Software is protected by the Patent.
For the avoidance of doubt, this license does not give any rights on the Patent.
Any patent that may be generated using the Licensed IP Rights, such as improvements, can be used for Non-Commercial Research only.
If You generate improvements that would require a license from the Patent Co-owners to use, you commit to contact Inserm Transfert in order for a specific
agreement to be agreed upon between your entity and Inserm Transfert.
3.3 Breach
Any use of the Software by the Licensee that exceeds the scope of the granted rights constitutes a breach of the License that will cause the License to be
immediately and automatically terminated.
ARTICLE 4 - Distribution
The Licensee is authorized to distribute copies of the Software in Source Code or Object Code form.
When the Licensee creates a Contribution, such Contribution must be distributed under the terms and condition of this License.
In any case of distribution, the Software and/or Contributions must:
(i) be accompanied by a copy of this License,
(ii) have modified files to carry prominent notices stating that You modified those files,
(iii) in their Source Code, retain all copyright, patent, and attribution notices from the
original Source Code.
ARTICLE 5 - Names of the authors/Trademark
This License does not grant You permission to use the names, trademarks, service marks, or product names of the Licensor, except as required for reasonable
and customary use in describing the origin of the Software and reproducing the content of this License, README and Notice files.
ARTICLE 6. No warranties
Unless required by applicable law or agreed to in writing, the Licensor provides the Work (and each Contributor provides its Contributions) on
an “AS IS” BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of
title, non-infringement, or fitness for a particular purpose.
Any Licensee is solely responsible for determining the appropriateness of using the Software and redistributing its Contribution, and assumes any risk
associated with the said use and redistribution.
In no event and under no legal theory, whether in tort (including negligence), contract, or otherwise, unless required by applicable law
(such as deliberate and grossly negligent acts), or agreed to in writing, shall any Contributor be liable to You for damages, including any direct, indirect,
special, incidental, or consequential damages of any character arising as a result of this License or out of the use or inability to use the Software or
any Contribution (including but not limited to damages for loss of goodwill, work stoppage, computer failure or malfunction), even if such Contributor has
been advised of the possibility of such damages.
ARTICLE 7 - Duration and Termination
The License enters into force when You download the Software and terminates at the same time the copyrights terminate.
However, in the event of a breach by the Licensee of its obligations herein described, the rights granted to the Licensee will automatically terminate.
The Licensee shall erase it from all of its digital equipment immediately and cease to use the Software.
ARTICLE 8 - Applicable law and Dispute resolution
The License is governed by French law. Should a difficulty or dispute arise in connection with the License, the parties concerned agree to seek an amicable
solution between them.
If the concerned parties are unable to find an amicable solution within two (2) months as from the occurrence any dispute, and unless emergency proceedings
are necessary, the disagreements or disputes shall be referred to the Paris Courts having jurisdiction, by the more diligent Party.
