MagePal LLC. End User License Agreement (EULA).
Please read our Terms and Conditions of Use (“Terms”) and Privacy Policy carefully, as it sets out the terms and
conditions in which our products are licensed.
Downloading the Software from our website or third-party means that you agree with the terms and conditions of this
EULA. You further agree that any person you authorize to use the Software will also be bound by these terms and
conditions of our EULA.
If you do not agree to this EULA, you must not use the software for any purpose whatsoever and destroy all copies
immediately.
By using the software and services (other than to read this page for the first time), you agree to comply with all of
the Terms of Use set forth:
1. This license agreement (“Agreement”) is an agreement between you (the person or company who is being licensed to use
the Software or documentation) and MagePal LLC. (“MagePal”, “we”, “us”, “our”). The Agreement applies to all
Software (“products”, “extensions”, “plugins”, “scripts”, “services”) you purchase or any other content, software and
material that is made available by MagePal LLC whether paid, free or open source.
2. By purchasing or using any of our Software you acknowledge that you have read this Agreement, and that you agree to
the content of this Agreement, and agree to use the Software in compliance with this Agreement and protect our
intellectual property from unauthorized misuse.
3. The Agreement comes into full legal binding upon purchasing of the Software or receive it through email or any other
data medium and/or third-party.
4. You acknowledge that the Software has not been developed to meet your individual requirements, and that it is
therefore your responsibility to ensure that the facilities and functions of the Software as described in the Documents
meet your requirements.
5. The Software or a portion of it is copyright, we are the sole copyright holder. We reserve the right to revoke the
license of any user who is in possession of an invalid or un-licensed copy. If you continue to use our Software after
MagePal LLC gives you notice of termination of your license or unlicensed product, you hereby agree to reframe from
further usage, destroy all copies and to pay all costs if any (including but not limited to reasonable attorney fees)
to enforce our cancellation of your license and any damages suffered by us because of your misuse.
6. This Agreement gives you the right to use one copy of the Software (excluding development, staging or testing servers)
solely for your personal or business use, subject to all other terms of this Agreement. A separate License should be
purchased for each new project and/or client.
7. You may not use any part of the code in whole or part in any other software or product.
8. You may not sell, sub-license, rent, lease or lend any portion of the Software or Documentation. Any copying,
redistributing, reproducing, transferring, displaying to the public, or making available to the public without our
consent, including noncommercial distribution (public network such as the Internet, github, bitbucket, packagist, etc)
is regarded as a violation of this Agreement and will be enforce according to the law and you agree to paid all costs
(including but not limited to reasonable attorney fees) to protect our intellectual property and any damages suffered
by us because of your misuse.
9. You may not remove or alter any branding, copyright, disclaimer, terms of use, or any other proprietary notices or
marks within the extension. Including but not limited to MagePal branding in file names, class names, variables, texts
or UI. All copyright information should remain intact, including texts and/or links.
10. UNDER NO CIRCUMSTANCES ARE WE LIABLE FOR ANY DAMAGES ARISING from using any of our products or services purchased
through this website, be it indirect, special, incidental or consequential damages (including but not limited to loss
of profits, sales, business, or revenue, loss or corruption of data or information, business interruption, loss of
business opportunity, any indirect or consequential loss or damage or the like). Always test on a development
environment and backup your data and content.
11. We are not liable for the mis-use of the software, using against law or any another illegal activity.
12. License agreement remains effective until terminated. We reserve the right to terminate your rights to use our
Software at any time, and at our sole discretion, if you are in breach of this agreement and/or not abiding by the terms
of the Agreement, including, but not limited to, obscuring or removing any link or copyright notice as specified in
this agreement.
13. You may terminate your license at any time by destroying all copies of the Software. Termination of this Agreement
does not bind us to issue an refund whether in part or full of your purchase amount, if more than 30 days have passed
since the purchase date. We reserves the right to terminate all software licenses, all orders and support services for
any customer in violation of the Agreement.
14. Any dispute of any kind, whether for breach of support, or otherwise, shall be resolved by the Federal or State
Courts located in the State of New Jersey that govern Passaic County.
15. MagePal LLC. reserves the right, at our discretion, to change, modify, add or remove portions of our Terms of Use
and Privacy Policy at any time and from time to time. These changes will be posted for general public view on our website.
